Welcome to Kaneto. These Terms of Service ("Terms") govern your access to and use of the Kaneto platform, including our website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

Please read these Terms carefully. If you do not agree with any part of these Terms, you may not use the Service.

1. Acceptance of Terms

By accessing or using Kaneto, you confirm that you:

  • Are at least 16 years of age
  • Have the legal authority to enter into this agreement
  • Accept these Terms on behalf of yourself or, if applicable, your organization
  • Have read and understood our Privacy Policy

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Kaneto is a project management platform designed for engineering and construction professionals. The Service includes:

  • Project organization and tracking
  • Task management with assignments and deadlines
  • Meeting scheduling and documentation
  • Site supervision and progress tracking
  • File storage and document management
  • Financial tracking (payments, expenses, quotes)
  • Contact management
  • Calendar integration with Google Calendar
  • AI-powered features (receipt scanning, voice commands, meeting summaries)
  • Client portal for sharing project information

Features may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your contact information is accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or have been inactive for an extended period.

4. User Content and Data

4.1 Your Content

You retain ownership of all content you upload, create, or share through the Service ("User Content"), including projects, tasks, files, and other data. By using the Service, you grant us a limited license to:

  • Store, process, and display your content to provide the Service
  • Create backups for data protection purposes
  • Generate anonymized, aggregated statistics for service improvement

4.2 Third-Party Data

You may store information about third parties (clients, contacts, vendors) in the Service. You represent and warrant that you have the necessary rights and permissions to store and process this information, and you agree to comply with all applicable privacy laws regarding such data.

4.3 Data Export

You may export your data at any time through the Service's export features or by contacting support. Upon account termination, you will have 30 days to export your data before it is deleted.

5. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's operation
  • Use the Service for illegal activities or to facilitate illegal activities
  • Harass, abuse, or threaten other users
  • Collect user data without consent
  • Use automated means (bots, scrapers) to access the Service without authorization

We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.

6. Third-Party Services

The Service integrates with third-party services including:

  • Google Calendar for event synchronization
  • Google Maps for location services
  • Google Cloud for AI-powered features

Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or functionality of third-party services.

7. AI Features

Certain features use artificial intelligence to process your data:

  • Receipt Scanner: Extracts data from receipt images
  • Voice Commands: Processes voice transcripts to create tasks
  • Meeting Summaries: Analyzes meeting notes to generate summaries

AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated output before relying on it. You can disable AI features in your account settings.

8. Payment Terms

If you subscribe to a paid plan:

  • Fees are charged in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified
  • You authorize us to charge your payment method for recurring subscriptions
  • We may change pricing with 30 days' notice
  • Failure to pay may result in service suspension

Free tier users may be subject to usage limitations. We reserve the right to modify free tier features at any time.

9. Intellectual Property

The Service, including its design, code, features, and content (excluding User Content), is owned by Kaneto and protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or decompile the Service
  • Remove or alter any proprietary notices
  • Use our trademarks without written permission

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • The Service will meet your specific requirements
  • Data will be accurate, reliable, or complete
  • Any errors will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANETO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Service interruptions or data breaches
  • Unauthorized access to your account
  • Errors in AI-generated content
  • Third-party service failures

Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Kaneto, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

13. Termination

By You: You may terminate your account at any time through the account settings or by contacting support. Upon termination, you will have 30 days to export your data.

By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or the Service. We will provide notice when possible.

Upon termination, your right to use the Service immediately ceases, and we may delete your data after the 30-day grace period.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. Informal Resolution: Contact us first to attempt to resolve the dispute informally.
  2. Mediation: If informal resolution fails, disputes may be submitted to mediation.
  3. Legal Proceedings: Any legal action shall be brought in the courts of Cyprus.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to conflict of law principles. For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws.

16. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last updated" date
  • Sending you an email notification for significant changes

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kaneto.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our consent.
